CONTRACT FOR USE OF JOB-BOARD "AURORA"

1. Introduction

Aurora is a digital job board platform, meaning an online platform designed to facilitate the meeting between job demand and job supply.

The platform aims to reduce inefficiencies in the labor market by helping companies attract qualified candidates and enabling individuals seeking employment to discover and apply to job opportunities.

The Aurora platform divides its users into two main categories:

  • Companies: use the platform to publish and promote job opportunities in order to attract candidates interested in their open roles.
  • Candidates: individuals who autonomously access the platform to discover job opportunities and apply for positions offered by companies.

Use of the platform is governed by these Terms and Conditions, and access implies unconditional acceptance of the terms herein.


2. Definitions

Aurora or Granting Promoter: the digital platform intended to facilitate the meeting between job demand and job supply. This service is provided by Aurora Jobs ApS, a Danish company with registered office at Ved Lunden 4, C/O Blue Office, 8230, Åbyhøj, Denmark, CVR-nr 46223780, represented by Matteo Arcarese, owner and holder of the economic exploitation rights of the "Aurora" software (hereinafter, the "Granting Promisor"), which grants its use to the Promissory User under the terms of this agreement and the Terms of Service.

Company or Promissory User: registered users of the platform who use it to publish job opportunities and attract candidates. The natural or legal person who, as a representative of the company benefiting from the services covered by this contract, accepts the terms and conditions of use of the platform and undertakes to abide by them and to enforce them on its appointees or employees. The Promissary User acts in the name and on behalf of the company it represents, and has the necessary powers under its articles of incorporation or power of attorney.

Candidate: individuals who autonomously access the platform in order to discover job opportunities and potentially apply for positions offered by companies.

Cognitive and Personality Tests: assessment tools designed to measure candidates' cognitive abilities and personality traits. These tools may be integrated into the Aurora platform in the future, but may not necessarily be available at the time of use of the platform.


3. Background

Any additional features introduced later may be included in the services provided, at no additional cost, at the sole discretion of the Promoter.

Each position means a single recruitment and corresponds to the publication of a job opportunity within the Aurora platform. A position may also be referred to as a "job slot".

Example: if a position for a Business Developer is opened in June and then a new search for a second Business Developer (albeit with the same title) begins in November, these are two separate positions and counted separately.

At the time of writing these Terms and Conditions, the publication of job opportunities on the platform may be offered free of charge. However, Aurora reserves the right in the future to introduce pricing models based on job slots, sponsorship options, subscription plans, or combinations of these elements.

In the event that the User Promisor does not use all the positions in the selected package by the scheduled expiration date, these positions will be usable in the following year in the sole event that the User Promisor renews the contract for a later period. In the event of non-renewal of the contract for the subsequent period, the User Promisor will automatically lose the right to use the remaining positions not opened by the expiration date, with no possibility of refund or compensation.

All of the above, the parties hereby declare that the above premises form an integral and substantive part of this contract.


4. License of Use

By entering into this contract:

  • The Granting Promisor provides the User Promisor with a limited, non-transferable and non-exclusive license to use the Aurora job-board platform.
  • The User Promisor does not acquire any ownership rights to the Aurora platform or any of its components, except for the data provided by the Promisor and imported into the platform.

5. Registration and Access to the Platform

Companies must register on the Aurora platform to access all features and may publish job opportunities and share them with candidates through the platform.

Each user is entirely responsible for the security of their credentials and access to their account. Aurora will not be responsible for unauthorized access due to loss or compromise of credentials. Users must report any unauthorized use of the account immediately.


6. Operation of the Platform

The services will be made available online as early as the date of entering into this agreement, and the Granting Promisor will provide access credentials to the User Promisor for immediate use of the platform.

The Aurora platform allows companies to publish job opportunities and promote them to the Aurora community.

Candidates access the platform autonomously to explore job opportunities and may apply to roles made available by companies through the platform.


7. Obligations of the Participant

Obligations of Candidates

Candidates agree to use the platform diligently and in good faith, provide accurate information, and use the platform only for legitimate job search purposes.

Candidates acknowledge that cognitive and personality assessments may be introduced in the future and must be completed honestly if used.

Obligations of Companies

Companies commit to use the platform solely for the purpose of attracting candidates and promoting job opportunities and to process candidate data in accordance with EU GDPR and other applicable privacy regulations.


7-bis. Sources of Job Opportunities

Aurora may display job opportunities in different sections of the platform.

Section "For You" may contain job opportunities identified from publicly available sources on the internet, collected in compliance with the terms of the respective websites. Aurora may not have a direct contractual relationship with the companies whose job offers appear in this section. Clicking "Apply" redirects candidates to the company website where the application process continues independently of Aurora.

Section "Our Picks" contains job opportunities from companies collaborating directly with Aurora. Aurora acts as a preferential introduction channel between candidates and the company. Applications may be forwarded by Aurora through reports, communication or limited platform access.

Completion of cognitive or personality assessments by Candidates, if available, is voluntary and may serve as additional information for recruiters.


8. Obligations of Aurora

Aurora is committed to:

  • Provide technical support and assistance throughout the term of the contract.
  • Protect personal data of candidates and companies according to the highest security standards and in full compliance with applicable regulations, the EU GDPR (Regulation (EU) 2016/679, GDPR), Directive 2002/58/EC (ePrivacy Directive) regulating privacy in electronic communications and the use of cookies.
  • Continuously improve the platform, implementing updates and corrections based on feedback received from companies and candidates.

9. Confidentiality

Companies and Candidates agree to keep confidential all information obtained through the platform, including assessments, test results, and any other sensitive information. It is prohibited to disclose such information to third parties without the express consent of the relevant party or Aurora.


10. Protection of Personal Data

Aurora is committed to processing personal data in accordance with the EU GDPR (Regulation (EU) 2016/679, GDPR), Directive 2002/58/EC (ePrivacy Directive) regulating privacy in electronic communications and the use of cookies, and other applicable national or international data protection regulations. Companies using the platform are also responsible for the correct and compliant processing of candidates' personal data.

Companies are required to:

  • Inform candidates of their rights regarding the protection of personal data.
  • Ensure that data is processed in accordance with applicable regulations and Aurora's policies.

Aurora will take all technical and organizational measures to ensure data security.


11. Feedback and Platform Development

Companies and Candidates are invited to provide feedback on the functionality of the platform, including any bugs encountered, suggestions for improvement, and observations on the user experience. Aurora reserves the right to use the feedback received to improve the platform, without any obligation for acknowledgement or compensation.


12. Changes to the Platform

Aurora may make changes, updates, or temporary suspensions to the service in order to improve the platform or resolve technical problems. Users will be notified in advance of any major changes or prolonged interruption of the service.


13. Limitation of Liability

Aurora shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the platform, including, but not limited to, technical malfunctions, loss of data, service interruptions, or economic damages. The Granting Promisor agrees that the use of the platform is predefined and waives any claims relating to warranties of specific functionality or freedom from errors.


14. Suspension and Interruption of Service

Aurora reserves the right to temporarily suspend access to the platform for maintenance or technical updates. In the event of prolonged service interruption, Aurora will promptly notify affected users.


15. Default of the User Promisor

In the event of default by the User Promisor, penalties may be applied based on the contractual conditions related to the use of job slots or other pricing mechanisms that may be introduced by Aurora in the future.


16. Termination of Contract

Candidates and Companies may terminate the relationship at any time by written notice to Aurora, including without notice and effective immediately.

Aurora reserves the right to terminate the contract immediately in case of violation of these Terms and Conditions.


17. Intellectual Property and Copyright

All tests, questions, and related content provided by Aurora are the exclusive property of Aurora. Users are strictly prohibited from copying, distributing, reproducing, modifying, or using any part of the tests or related content for any purpose other than as expressly authorized by Aurora. Sharing, publishing or disseminating test content without prior written permission is strictly prohibited. Unauthorized use or sharing of the tests may result in legal action.

The Granting Promisor holds all intellectual property rights related to the Aurora platform. The User Promisor agrees not to modify and/or alter the platform in any way. The latter also agrees not to distribute copies of the software.


18. Updates to the Terms of Service

Aurora reserves the right to modify, update, or supplement these Terms and Conditions at any time. Any changes will be communicated to users by email to their registered address or by notification on the platform. Users must accept the new terms in order to continue using Aurora's services. In case of non-acceptance, users will have the right to cease using the platform, close and permanently delete their account.


19. Owner of Domains and Applications

For the purpose of the legal validity of this agreement, it is specified that all domains and applications related to the Aurora platform are registered by Aurora Jobs ApS and managed by Matteo Arcarese, who can be contacted at the email address matteo.arcarese@aurora-jobs.com


20. Applicable Law and Jurisdiction

This contract is governed by Danish law. Any dispute relating to the validity, interpretation or execution of this contract shall be under the exclusive jurisdiction of the Danish courts competent for the place where Aurora Jobs ApS has its registered office, without prejudice to all mandatory jurisdiction by law.


21. Acceptance of Terms

By accepting these Terms and Conditions, the user declares that he/she has read, understood and fully accepted all the clauses, and agrees to abide by them while using the Aurora platform.

The parties declare themselves to be aware of the contents of this agreement and specifically approve all the clauses.


22. Entire Agreement

These Terms and Conditions constitute part of the agreement between the parties in connection with the use of the Aurora platform, supplemented by additional agreements and/or contracts, regarding the use of the platform.
