CONTRACT FOR USE OF SOFTWARE AS A SERVICE (SaaS) "AURORA"

Introduction (1)
Aurora is a digital platform designed to support companies in the candidate selection and assessment process. The platform enables companies to test candidates' cognitive abilities and personality traits, offering advanced tools for making informed decisions in selecting the best candidates for their open positions.
The Aurora platform divides its users into two main categories:
- Companies: use the platform to select and test candidates based on cognitive abilities and personality traits.
- Candidates: access the platform by invitation from companies, participate in the selection processes and complete the proposed tests.
Use of the platform is governed by these Terms and Conditions, and access implies unconditional acceptance of the terms herein.
Definitions (2)
- Aurora or Granting Promoter: the digital platform intended for the evaluation of personnel and their candidates. This service is provided by a VAT-registered entity 03023390994, owner and holder of the economic exploitation rights of the "Aurora" software (hereinafter, the "Granting Promisor"), which grants its use to the Promissory User under the terms of this agreement and the Terms of Service
- Company or Promissory User: registered users of the platform, who use it to test and select candidates. The natural or legal person who, as a representative of the company benefiting from the services covered by this contract, accepts the terms and conditions of use of the platform and undertakes to abide by them and to enforce them on its appointees or employees. The Promissary User acts in the name and on behalf of the company it represents, and has the necessary powers under its articles of incorporation or power of attorney.
- Candidate: users who access the platform by invitation from companies to participate in selection tests.
- Cognitive and Personality Tests: advanced assessment tools used by the platform to measure candidates' cognitive abilities and personality traits, aimed at improving the selection and assessment process.
Background (3)
- Any additional features introduced later may be included in the services provided, at no additional cost, at the sole discretion of the Promoter.
- Each position means a single recruitment
- example: if a position for a Business Developer is opened in June and then a new search for a second Business Developer (albeit with the same title) begins in November, these are two separate positions and counted separately.
- In the event that the User Promisor does not use all the positions in the selected package by the scheduled expiration date, these positions will be usable in the following year in the sole event that the User Promisor renews the contract for a later period. In the event of non-renewal of the contract for the subsequent period, the User Promisor will automatically lose the right to use the remaining positions not opened by the expiration date, with no possibility of refund or compensation.
All of the above, the parties hereby declare that the above premises form an integral and substantive part of this contract.
License of Use (4)
By entering into this contract:
- The Granting Promisor provides the User Promisor with a limited, non-transferable and non-exclusive license to use the Aurora software;
- The User Promisor does not acquire any ownership rights to the Aurora platform or any of its components, except for the data provided by the Promisor and imported into the platform.
Registration and Access to the Platform (5)
Companies must register on the Aurora platform to access all features and may invite Candidates to participate in selection tests.
Each user is entirely responsible for the security of their credentials and access to their account. Aurora will not be responsible for unauthorized access due to loss or compromise of credentials. Users must report any unauthorized use of the account immediately.
Operation of the Platform (6)
The services will be made available online as early as the date of entering into this agreement, and the Granting Promisor will provide access credentials to the User Promisor for immediate use of the platform. The User Promisor is responsible for the management and security of the access credentials and agrees not to give or disclose them to unauthorized third parties.
The Aurora platform offers companies a number of tools to facilitate the candidate selection process. Among the features available:
- Cognitive tests to assess logical, numerical, and analytical skills.
- Personality tests to measure characteristics such as leadership aptitude, ability to work in a team, stress management, and other soft skills.
- Generation of detailed reports on test results that support companies in selection decisions.
- Customizable hard skills tests
- Editable forms for data collection
Candidates are invited by companies to complete necessary tests and assessments. Companies and candidates receive reports on the results for each application, and the data may be used only for the stated selection purposes.
Obligations of the Participant (7)
Obligations of Candidates Candidates agree to:
- Use the platform only for the tests proposed by the company that invited the candidate.
- Provide accurate and truthful information while completing the tests.
- Participate actively and with integrity in the selection process.
- Respect the confidentiality of content on the platform, including test results and methodologies used.
Obligations of Companies
Companies commit to:
- Use the platform solely for selection and recruitment purposes.
- Process candidate data in accordance with applicable data protection legislation, including the EU GDPR (Regulation (EU) 2016/679, GDPR), Directive 2002/58/EC (ePrivacy Directive) regulating privacy in electronic communications and the use of cookies.
- Not to share or disclose candidate information to third parties without the candidates' explicit consent.
Obligations of Aurora (8)
Aurora is committed to:
- Provide technical support and assistance throughout the term of the contract.
- Protect personal data of candidates and companies according to the highest security standards and in full compliance with applicable regulations, the EU GDPR (Regulation (EU) 2016/679, GDPR), Directive 2002/58/EC (ePrivacy Directive) regulating privacy in electronic communications and the use of cookies.
- Continuously improve the platform, implementing updates and corrections based on feedback received from companies and candidates.
Confidentiality (9)
Companies and Candidates agree to keep confidential all information obtained through the platform, including assessments, test results, and any other sensitive information. It is prohibited to disclose such information to third parties without the express consent of the relevant party or Aurora.
Protection of Personal Data (10)
Aurora is committed to processing personal data in accordance with the EU GDPR (Regulation (EU) 2016/679, GDPR), Directive 2002/58/EC (ePrivacy Directive) regulating privacy in electronic communications and the use of cookies, and other applicable national or international data protection regulations. Companies using the platform are also responsible for the correct and compliant processing of candidates' personal data.
Companies are required to:
- Inform candidates of their rights regarding the protection of personal data.
- Ensure that data is processed in accordance with applicable regulations and Aurora's policies.
Aurora will take all technical and organizational measures to ensure data security.
Feedback and Platform Development (11)
Companies and Candidates are invited to provide feedback on the functionality of the platform, including any bugs encountered, suggestions for improvement, and observations on the user experience. Aurora reserves the right to use the feedback received to improve the platform, without any obligation for acknowledgement or compensation.
Changes to the Platform (12)
Aurora may make changes, updates, or temporary suspensions to the service in order to improve the platform or resolve technical problems. Users will be notified in advance of any major changes or prolonged interruption of the service.
Limitation of Liability (13)
Aurora shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the platform, including, but not limited to, technical malfunctions, loss of data, service interruptions, or economic damages. The Granting Promisor agrees that the use of the platform is predefined and waives any claims relating to warranties of specific functionality or freedom from errors.
Suspension and Interruption of Service (14).
Aurora reserves the right to temporarily suspend access to the platform for maintenance or technical updates. In the event of prolonged service interruption, Aurora will promptly notify affected users.
Default of the User Promisor (15).
In the event of default by the User Promisor, there is a minimum penalty equal to the full amount due) or a portion thereof (inferable from the difference between what has already been paid and what is missing) to be paid to the Licensor Promisor, and up to a variable maximum value inferable from the actual use of the platform (based on additional hires, at the average cost per hire under the contract).
Termination of Contract (16)
Candidates and Companies may terminate the relationship at any time by written notice to Aurora, including without notice and effective immediately.
Aurora reserves the right to terminate the contract immediately in case of violation of these Terms and Conditions.
Intellectual Property and Copyright (17)
All tests, questions, and related content provided by Aurora are the exclusive property of Aurora. Users are strictly prohibited from copying, distributing, reproducing, modifying, or using any part of the tests or related content for any purpose other than as expressly authorized by Aurora. Sharing, publishing or disseminating test content without prior written permission is strictly prohibited. Unauthorized use or sharing of the tests may result in legal action.
The Granting Promisor holds all intellectual property rights related to the Aurora platform. The User Promisor agrees not to modify and/or alter the platform in any way. The latter also agrees not to distribute copies of the software.
Updates to the Terms of Service (18)
Aurora reserves the right to modify, update, or supplement these Terms and Conditions at any time. Any changes will be communicated to users by email to their registered address or by notification on the platform. Users must accept the new terms in order to continue using Aurora's services. In case of non-acceptance, users will have the right to cease using the platform, close and permanently delete their account.
Owner of Domains and Applications (19).
For the purpose of the legal validity of this agreement, it is specified that all domains and applications related to the Aurora platform have been registered in the name of Youssef Radah, who can be contacted at the email address youssef@hello.aurora-jobs.com and put in CC matteo.arcarese@aurora-jobs.com
Applicable Law and Jurisdiction (20)
This contract is governed by Italian law. Any dispute relating to the validity, interpretation or execution of this contract shall be under the exclusive jurisdiction of the Court of Milan, without prejudice to all mandatory jurisdiction by law.
Acceptance of Terms (21)
By accepting these Terms and Conditions, the user declares that he/she has read, understood and fully accepted all the clauses, and agrees to abide by them while using the Aurora platform.
The parties declare themselves to be aware of the contents of this agreement and to specifically approve, pursuant to Articles 1341 and 1342 of the Civil Code, the above clauses.
Entire Agreement (22)
These Terms and Conditions constitute part of the agreement between the parties in connection with the use of the Aurora platform, supplemented by additional agreements and/or contracts, regarding the use of the platform.
